Client Responsibilities
4.1 The client is responsible for providing accurate and complete information necessary for the delivery of services by EcomTide. This includes but is not limited to product information, branding materials, and any other relevant content.
4.2 The client is responsible for ensuring that all materials provided to EcomTide do not infringe upon any third-party rights, including intellectual property rights.
4.3 The client shall promptly review and provide feedback on any deliverables or drafts provided by EcomTide within the agreed-upon timeframe.
Payment
5.1 Payment terms, including amounts, due dates, and accepted payment methods, will be outlined in the service agreement or invoice issued by EcomTide.
5.2 All payments are non-refundable unless otherwise stated in the service agreement.
5.3 Failure to make timely payments may result in suspension or termination of services.
Confidentiality
6.1 Both EcomTide and the client agree to keep all non-public information received from the other party confidential. This includes, but is not limited to, business strategies, trade secrets, customer data, and financial information.
6.2 Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law.
Limitation of Liability
7.1 EcomTide shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use our services, including but not limited to any errors, omissions, or delays in the services.
7.2 EcomTide’s total liability, whether in contract, tort, or otherwise, shall be limited to the amount paid by the client for the specific services giving rise to the liability.
Termination
8.1 Either party may terminate the agreement or contract for services at any time by providing written notice to the other party. Termination shall not relieve the client’s obligation to pay any fees or expenses incurred prior to termination.
8.2 EcomTide may suspend or terminate services immediately, without prior notice, if the client breaches these terms and conditions or engages in any unlawful or unethical activities.
Governing Law and Jurisdiction
9.1 These terms and conditions shall be governed by and construed in accordance with the laws of the United States of America.
9.2 Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of the United States of America.
Amendments
10.1 EcomTide reserves the right to modify or update these terms and conditions at any time without prior notice. Any changes will be effective immediately upon posting on our website.
10.2 It is the client’s responsibility to review these terms and conditions periodically to ensure compliance with the most current version.
